  • Advice to Grupo Perez Companc in the sale of Turismo Pecom to its former top management (2019).
  • Advice to group of investors in the purchase of Netshoes’ subsidiaries in Mexico and the granting by the sellers of a bridge loan to the target for the refinancing of current liabilities prior to the closing (2019).
  • Advice to Pristine Post SAS, a translation services company, on the sale of its operations in Argentina to Transperfect, a global linguistic and technology services provider (2019).
  • Advice to Lucky Way SRL, a company engaged in the marketing of gaming products, in the sale of its operations in Argentina to Park Avenue Gaming LLC, a global lottery services provider (2019).
  • Advice to the Agencia de Administración de Bienes del Estado, a governmental authority that oversees and manages all publicly owned real estate in Argentina, in the evaluation and legal restructuring of the strategy for the administration of real estate under its jurisdiction (2015-2019).
  • Advice to CMG-Nicsa, an IT solutions provider, on the sale of its Latin American operations to Park Place Technologies, the world’s largest data center Maintenance Company. The transaction involved assets and personnel in Argentina, Brazil, Chile, Mexico, Peru and Uruguay (2018).
  • Advice to the National Ministry of Production in the design, creation and implementation of the first national public fund for entrepreneurial capital (Fondo Nacional para el Desarrollo del Capital Emprendedor) (2018).
  • Advised the Inter-American Investment Corporation in the financing of up to US$60,000,000 granted to Citrusvil S.A., to improve its debt profile, and working capital (2017).
  • Advised The Varkey Foundation since its landing in Argentina for the development of its leadership programs and in the incorporation of Fundación Varkey Argentina (since 2016). The Varkey Foundation is a globally recognized public welfare entity that annually awards the Global Teacher Prize, a US$1,000,000 prize to an exceptional teacher who has made an outstanding contribution to his or her profession.
  • Counsel to Plaza Logistica Group as target of a minority equity investment made by Pointstate, LP for an aggregate of US$65.000.000 (2016).
  • Advise to an investor in the sale of its co-controlling interest in EDESA and controlling interests in EDES and EDEN, electricity distribution companies in Salta, southern and northern regions of the Buenos Aires Province, respectively (2016).
  • Advice to Laureate Education, a major player in the higher education industry, in its initial investment into HSM in a cross border transaction involving 9 different national jurisdictions (2010) with further assistance in its acquisition of co-control in HSM (2013). Finally, in 2015, we advised Laureate Education in the sale of its co-controlling interest to a Mexican private equity fund.
  • Advice to a group of investors in the acquisition from EDENOR of a controlling stake in EDEN, the electricity distribution company for the northern section of the Buenos Aires Province (2013).
  • Advice to a group of investors in the acquisition from Pampa Energía of a controlling stake in EDESA, the electricity distribution company for Salta Province. This acquisition was instrumented through the purchase of a minority interest in EMDERSA, then the holding company of the target and the subsequent spin off of the Salta electric distribution business (2012).
  • Advice to a group of investors in the acquisition of a 100% equity interest in Key Energy Services Argentina S.A. (currently SP Argentina S.A.), an oil and gas drilling services company (2012).
  • Assistance to Star Resorts Development in the sale of its stake in Cerro Bayo, one of the leading ski resorts in Patagonia (2009).
  • Advice to Plaza Logística SRL in the issuance of an exchange offer of class 1 notes denominated and payable in U.S. Dollars, for class 5 notes, and offer to prepay with cash funds the amounts due under the class 1 notes (2020).
  • Advice to Plaza Logística SRL in obtaining financing from US International Development Finance Corporation (DFC, formerly Overseas Private Investment Corporation) in the amount of US$45,000,000, through the subscription of private negotiable obligations, to be repaid within 144 months after the issuance of the first class (2019-2020).
  • Advice to Plaza Logística SRL in obtaining a syndicated loan of US$60,000,000 from Banco Santander Río S.A., Banco Hipotecario S.A. and BACS Banco de Crédito y Securitización S.A. (2018).
  • Advice Plaza Logística SRL in the approval of its program of issuance of negotiable obligations for up to US$130,000,000 by the Argentine Securities Commission, and in the public offering of classes 1 to 6 of negotiable obligations under such program, from the approval to date. Plaza Logística SRL is the leading developer of triple A logistics parks in Argentina (since 2017).
  • Advice to Multilateral Investment Fund (currently IDB Lab), in more than twenty financing transactions and equity investments in social and environmental impact projects in different jurisdictions in Latin America (since 2016).
  • Advice to FOMIN, managed by the Inter-American Development Bank, in the granting of loans, grants and equity investments in various projects in Latin America and the Caribbean (2016-2017).
  • Advice to Verónica S.A., a leading company in the dairy market in Argentina, in its AR$800 million debt restructuring with a group of twelve banks (2016). Advice on the second and third restructuring of its debt (2019 and 2020, respectively).
  • Advice to the Inter-American Investment Corporation in the financing of up to US$70,000,000 granted to Profertil S.A., for the development and construction of its plant in Puerto General San Martín, Province of Santa Fe (2011), along with an additional loan of up to US$ 40,000,000 for the expansion of the plant (2015).
  • Advice to Plaza Logística Tortugas as borrower in two syndicated loans for an aggregate of AR$300,000,000 granted by a group of banks led by Citibank N.A., Argentine Branch (2013 and 2015).
  • Advice to energy sector player Petroquímica Comodoro Rivadavia in the issuance of its series III and IV notes under its US$ 150.000.000 bond program (2013 and 2014).
  • Advice to Plaza Logística and Plaza Logística Tortugas in a project finance facility for an aggregate amount of US$30.000.000, with Overseas Private Investment Corporation and Inter-American Development Bank as lenders (2012).
  • Advice to Plaza Logística in a US$10,000,000 financing made available to it by Overseas Private Investment Corporation, and agency of the United States Federal Government (2010).
  • Advice to the Inter-American Investment Corporation in the granting of an A-B loan worth US$ 65,000,000 to Profertil S.A., leading local producer of urea (2009).
  • Advice to the Inter-American Investment Corporation in the granting of a loan to BGH, the largest Argentine manufacturer of household appliances (2009).
  • ICC Arbitration case representing an Argentine company against U.S. investors for disputes related to a stock purchase agreement and an option agreement for the sale of a company engaged in the fisheries industry. The case was under the ICC Arbitration Rules, the applicable law was Argentine law and the seat of the arbitration was Buenos Aires. It was the first case in which an arbitral tribunal rendered a partial arbitration award of jurisdiction extending the arbitral agreement to non-signatories parties under Argentine law. We successfully represented our client in the annulment proceeding of the partial award filed by the counterparty before Argentine Courts. Within this case we advised our client in discoveries proceedings in Seattle and Florida (United States of America) and the British Virgin Islands to produce evidence for the arbitration proceeding.
  • ICC Arbitration case representing an Argentine company against an Italian company for a dispute related to the breach of an international sales of goods agreement regarding machine necessary for the manufacturing of agricultural equipment. The case was under the ICC Arbitration Rules, the seat of the arbitration was Buenos Aires and it was governed by the United Nations Convention on Contracts for the International Sale of Goods of Vienna, 1980 (CISG). Within this case there was also a dispute related to the applicable law on the matters that fell outside the CISG’s scope (Argentine law or Italian law).
  • ICC Arbitration case representing an Argentine company against another Argentine company, both in the oil and gas industry, in a dispute related to the breach of the purchase of oil agreement. The case is under the ICC Arbitration Rules, governed by Argentine law and the seat of the arbitration is Buenos Aires.
  • ICC Arbitration case representing a foreign bank’s branch in Argentina against another Argentine company for a dispute related to an M&A transaction and the consequences of the mandatory conversion of USD to Argentine pesos imposed by the government in 2001. The case was under the ICC Arbitration Rules, was governed by Argentine law and the seat of the arbitration was Buenos Aires.
  • Representing the Inter-American Investment Corporation (IDB Group) in recovery of debts under Argentine Courts, including bankruptcy and execution proceedings.
  • Advice to German company in a possible arbitration against a wind power company for disputes relating to the construction of a wind farm in Argentina.
